1. Acceptance of Terms

These Terms of Service govern your access to and use of the Booktroz website, appointment booking platform, and related services. By accessing our website, creating an account, purchasing a subscription, or using our platform, you agree to these Terms. If you do not agree, you should not access or use our services.

Additional terms may apply to specific subscription plans, customizations, integrations, or services provided under a separate written agreement.

2. Description of Services

Booktroz provides a white-label appointment booking SaaS platform that businesses can use to manage appointments, professionals, schedules, customers, and online bookings under their own branding.

The platform may support different business categories, including doctors, dentists, clinics, lawyers, salons, consultants, therapists, and other appointment-based professionals. Available features depend on the subscription plan, configuration, and services purchased.

Booktroz provides the booking technology. Customers are responsible for the services they offer through their own branded platforms, including their business operations, professional conduct, appointment policies, and relationships with their end customers.

3. Account Registration and Access

Certain features require an account or subscription. You agree to provide accurate and current registration information and to keep your account details updated.

You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account. You should restrict account access to authorized personnel and notify us promptly if you suspect unauthorized access.

Booktroz may restrict, suspend, or terminate access where reasonably necessary to protect the platform, investigate suspected misuse, address security risks, enforce these Terms, or comply with applicable law.

4. Subscription Plans, Fees and Payments

Booktroz offers subscription plans with different features, usage limits, professional limits, and white-label capabilities. The applicable pricing, subscription period, and included features will be displayed on the relevant pricing page or stated in your order or written agreement.

Unless otherwise agreed in writing, subscriptions are billed annually. Any setup fees, customization charges, additional professional fees, integration charges, taxes, or other applicable costs will be communicated as part of the purchase or service agreement.

You agree to pay all applicable charges associated with your subscription. Failure to complete payment may result in restricted access, suspension, or non-renewal of services, subject to applicable law and the terms of your agreement.

Subscription renewal, cancellation, and refund eligibility are governed by the terms presented at purchase, our applicable Refund Policy, and any separate written agreement.

5. Acceptable Use

You agree to use Booktroz only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform to conduct fraudulent, deceptive, or unlawful activities.
• Upload or distribute malicious software or attempt to compromise platform security.
• Attempt unauthorized access to accounts, systems, databases, or infrastructure.
• Interfere with the platform's operation, availability, or performance.
• Reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits it.
• Copy, resell, sublicense, or redistribute Booktroz software beyond the rights expressly granted under your subscription or written agreement.
• Use the platform to violate another person's privacy, intellectual property rights, or other legal rights.
• Send unsolicited communications or misuse messaging and notification integrations.

We may investigate suspected violations and take appropriate action, including restricting access or terminating an account where permitted by law.

6. White-Label Branding and Customization

Depending on the selected plan, Booktroz may allow customers to configure branding elements such as business names, logos, colors, domains, and other supported presentation settings.

Customers are responsible for ensuring they have the necessary rights to use any logos, trademarks, images, text, domain names, and other materials they provide.

White-label access does not transfer ownership of Booktroz's underlying software, platform architecture, source code, or intellectual property unless a separate written agreement expressly provides otherwise.

7. Customer Content and Data

You may provide business information, professional details, customer records, appointment information, images, branding materials, and other content when using Booktroz ("Customer Content").

You retain your rights to Customer Content, subject to any rights necessary for us to operate and provide the services. You grant Booktroz permission to host, process, transmit, and use that content as reasonably necessary to provide, maintain, secure, and support the platform and as otherwise permitted by applicable law and our agreements.

You represent that you have the legal rights and permissions required to provide Customer Content and use it through the platform.

You are responsible for the accuracy of your business information, appointment availability, booking policies, and other content you publish. You must ensure that your collection and use of personal information comply with applicable data protection and privacy laws.

8. Appointment Bookings and Professional Services

Booktroz provides technology to facilitate appointment scheduling and booking management. Unless expressly agreed otherwise in writing, Booktroz does not provide the professional, medical, legal, beauty, consulting, or other services that customers offer through their booking platforms.

Businesses and professionals are responsible for:

• Providing accurate information about their services, pricing, qualifications, and availability.
• Managing appointment acceptance, cancellations, rescheduling, and customer communications.
• Establishing and communicating their own booking, payment, cancellation, and refund policies.
• Obtaining any licenses, registrations, permissions, or professional qualifications required for their activities.
• Handling disputes with their end customers concerning the services they provide.

Booktroz does not guarantee that a particular appointment will result in a completed transaction or that a customer or professional will fulfill their obligations.

9. Third-Party Services and Integrations

The platform may support or connect with third-party services, including payment gateways, email providers, messaging platforms, calendar tools, hosting providers, and other external systems.

These services may be subject to separate terms, fees, availability requirements, and privacy policies. You are responsible for maintaining any third-party accounts, credentials, subscriptions, and permissions required for integrations you use.

Booktroz is not responsible for independent third-party outages, policy changes, transaction failures, or service interruptions outside its reasonable control.

10. Intellectual Property Rights

Unless otherwise stated in a written agreement, Booktroz and its licensors retain ownership of the platform, software, source code, design elements, documentation, trademarks, branding, and other proprietary materials.

Your subscription grants you a limited, non-exclusive, non-transferable right to use the platform during the applicable subscription period, subject to your plan and these Terms. It does not transfer ownership of the underlying intellectual property.

You must not reproduce, distribute, modify, resell, or create derivative works from Booktroz intellectual property except as expressly permitted by us or by applicable law.

11. Privacy and Security

Booktroz handles personal information in accordance with its Privacy Policy and applicable data protection requirements.

We take reasonable steps appropriate to our platform and operational practices to protect information. However, no online service or method of data transmission can be guaranteed to be completely secure.

Customers are responsible for safeguarding account credentials, managing user permissions, and ensuring that their use of the platform complies with applicable privacy, confidentiality, and data protection obligations.

12. Service Availability and Maintenance

We aim to provide a reliable platform but do not guarantee uninterrupted or error-free availability unless a specific commitment is stated in a separate written agreement.

Access may occasionally be affected by maintenance, software updates, infrastructure issues, security incidents, third-party service failures, or circumstances beyond our reasonable control.

Any applicable availability commitments and support response targets are described in our Service Level Agreement, where applicable, or in a separate written agreement.

13. Suspension and Termination

You may stop using Booktroz and request cancellation of your subscription in accordance with the applicable subscription terms and cancellation procedures.

We may suspend or terminate access where reasonably necessary because of non-payment, material breach of these Terms, suspected fraud, security risks, unlawful activity, or circumstances requiring action to protect the platform or its users.

Where reasonably practicable and legally permitted, we may provide notice and an opportunity to resolve the issue before suspension or termination.

Following termination or subscription expiry, access to platform features may be restricted. Any data export, retention, or deletion will be handled in accordance with our applicable policies, technical capabilities, legal obligations, and written agreements.

14. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Booktroz provides the platform on an "as available" basis and does not warrant that the service will always be uninterrupted, error-free, compatible with every third-party system, or suitable for every specific business requirement.

We do not guarantee any particular level of revenue, bookings, customer acquisition, business performance, or commercial results from using the platform.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded under applicable law.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Booktroz will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or related to the use of the platform.

This limitation is subject to applicable law and does not exclude liability that cannot legally be excluded. Any additional limitations, exclusions, or liability caps agreed in a separate written agreement will apply according to that agreement.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Booktroz, its personnel, and its service providers against claims, losses, liabilities, and reasonable expenses arising from your unlawful use of the platform, material breach of these Terms, infringement of third-party rights, or content and services you provide through your booking platform.

This provision does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.

17. Changes to These Terms

Booktroz may update these Terms to reflect changes in the platform, business operations, legal requirements, or service offerings. Updated Terms will be published on this page with a revised update date.

Where required by applicable law or a separate agreement, we will provide notice of material changes. Your continued use of the platform after updated Terms take effect constitutes acceptance where such acceptance is legally effective.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise.

Booktroz may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate reorganization, or transfer of the relevant business, subject to applicable law and any contractual restrictions.

19. Severability

If any provision of these Terms is held invalid or unenforceable by a competent authority, that provision will be limited or removed only to the extent necessary. The remaining provisions will continue in effect to the extent permitted by law.

20. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Service Level Agreement where applicable, subscription details, and any relevant signed service agreements, form the agreement governing your use of Booktroz.

If a separate signed agreement expressly conflicts with these Terms, the relevant provisions of that agreement will govern to the extent of the conflict.

21. Governing Law and Jurisdiction

Unless otherwise required by applicable law or specified in a separate written agreement, these Terms shall be governed by the laws of India.

Disputes shall be subject to the jurisdiction of the competent courts in the applicable agreed jurisdiction, subject to any mandatory legal rights available to the parties.
